b. To accept these Terms, you must be at least 18 (eighteen) years of age, and must be competent to contract as required under the applicable Indian contractual laws, which is currently the Indian Contract Act, 1872. To use Equal AI, you will have to register with us by creating an account. When you create your account, you shall provide us with current, complete and accurate information as prompted by our account creation process.

c. If you provide any information that is untrue, inaccurate or incomplete, we have reasonable grounds to suspect that such information is untrue, inaccurate or incomplete and we shall reserve the right to suspend or terminate your account and refuse any and all current or future use of Equal AI at any time.

d. You agree not to access (or attempt to access) the Assistant by any means other than through the interface that is provided by us. You shall not use any deep-link, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Assistant, or in any way reproduce or circumvent the navigational structure orpresentation of the Assistant to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Assistant.

e. You agree to use Equal AI only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Assistant does not violate any applicable local, state, national, or international law.

f. You remain solely responsible for the consequences of using the services, and we shall not be liable for any actions taken during or after calls, including but not limited to: accepting instructions, disclosing information (whether accurate or approximate), declining or ending calls, or any misunderstandings, miscommunications, or harm resulting from interactions with callers. Any action or disclosures through our services occurs only further to specific instructions / information shared by you with us with our role being limited to that of an agent.

g. By using the Assistant, you expressly waive any and all claims against us, arising out of the use of the Assistant, including claims relating to financial loss, data disclosure, delivery errors, impersonation, or any other direct or indirect outcomes, except in cases of proven gross negligence or wilful misconduct by Equal AI.

a. You are solely responsible for how you use the Assistant, including any decisions, actions, or communications made through it. We act only as your agent and on your behalf and are trained solely by instructions given by you and/or information fed by you. We shall not be liable for any consequences arising from the Assistant’s interactions, such as accepting delivery instructions, disclosing sensitive personal information, or any miscommunication during calls. Users must exercise discretion and are expected to review and monitor the Assistant’s outputs, as we do not guarantee the accuracy, appropriateness, or legal compliance of its responses.

b. The Assistant does not verify or authenticate the identity, legitimacy, or intent of any caller interacting with the Assistant. The Assistant engages with callers based solely on the information/ instructions given by you followed by information presented during the call and does not conduct any form of background verification or identity validation. By using the service, you acknowledge and accept that you assume all risk associated with such interactions given the limited role played by us as your agent, and we shall not be held liable for any loss, damage, misrepresentation, or harm resulting from reliance on or engagement with any caller through the Assistant.

c. We use AI models to interpret unknown calls and may generate summaries or suggested responses. However, the Assistant may inaccurately interpret caller intent, tone, or context. You are responsible for reviewing AI-generated outputs by the Assistant before acting upon them. We do not guarantee the accuracy or reliability of the Assistant’s responses and shall not be liable for any consequences arising from such interpretations.

d. We shall not be liable for any unintentional access to, disclosure of, or reliance upon sensitive personal information communicated to or by the Assistant during any interaction, including voice calls, where such disclosure results from unclear instructions, ambiguous context, or misinterpretation of user input. Users acknowledge and agree that they are solely responsible for the nature and content of information shared during their use of the Assistant, and shall exercise all reasonable caution to avoid inadvertent disclosure of confidential, personal, or sensitive personal information.

e. Due to the nature of our services, we may not be able to directly notify third-party callers that their communication is being handled by an AI agent or may be recorded/ transcribed. You acknowledge and accept this limitation and agree that you will use the Assistant responsibly in compliance with applicable data protection laws, and as mentioned above, agree and acknowledge to bear sole liability and responsibility in relation to any calls which are taken by the Assistant.

f. Equal AI is not designed or intended for use in emergency situations. Do not rely on Equal AI to handle emergency calls. You are responsible for making direct emergency communication through traditional methods.

g. Equal AI uses AI models that generate responses and take actions based on information given by you or information received from the caller and places reliance on context, behavioural patterns, and predefined logic trees. You acknowledge and accept that such responses or actions may not always accurately reflect your intent, may contain errors, or may lead to unintended outcomes. Given the limited role played by us as your agent, by using the Assistant, you waive any claims against us for irreversible actions taken by the system including but not limited to declining or ending calls, providing dismissive or inaccurate responses, or relaying incorrect information and agree that we shall bear no liability for any direct or indirect consequences arising therefrom.

h. We shall not be liable for any transactions initiated, rejected, delayed, or influenced by the responses or actions of the Assistant. This includes, but is not limited to, any financial loss, business disruption, missed opportunities, contractual disputes, or misunderstandings arising from reliance on the Assistant’s outputs. Users are solely responsible for verifying information and making independent decisions, and we disclaim all liability for any direct or indirect consequences resulting from such interactions.

i. We shall not be liable for any disclosure, misuse, or loss of sensitive personal information that is unintentionally shared with or by the Assistant during a call, including instances arising from unclear commands, ambiguous context, or misinterpretation by the Assistant. Users are solely responsible for ensuring that no confidential or sensitive personal information is disclosed inadvertently and must exercise caution while interacting with the Assistant. Any personal information that you share with us will be processed in accordance with our Privacy Policy.

a. Acceptable Use and Responsible Conduct: By accepting the Terms you agree and understand that you shall in all circumstances not use the Assistant in order to host, display, upload, modify, publish, transmit, update, distribute, share, store or material:

i. in violation of any applicable law or regulation;

ii. in a manner that will infringe the copyright, trademark, trade secret or other intellectual property or proprietary rights;

iii. that belongs to another person and to which you do not have any right to;

iv. that causes harm, harasses others, or violates any applicable law;

v. is harmful to a child;

vi. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy including bodily privacy, insulting or harassing on the basis of gender, hateful, or racially or ethnically objectionable;

vii. promotes or relates to money laundering, gambling, terrorism, or any form of unlawful activity or behaviour that may cause incitement to commit a cognizable offense;

viii. is deceiving or misleading the addressee about the origin of the message or knowingly and intentionally communicates any information that is patently false or misleading in nature but may reasonably be perceived as a fact, or impersonates another person or misrepresents the origin of information;

ix. violates the norms of decency, public morality, or our community guidelines and user conduct expectations;

x. that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting another nation;

xi. that contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;

xii. that reverse engineers, decompiles, or attempts to extract the source code of our software; and

xiii. that use automated systems (bots, scripts) to access the Assistant in a manner that sends more request messages than a human could reasonably produce.

b. Use of AI Assistant for Call Handling: By using Equal AI, you agree to use the service in a lawful, responsible, and ethical manner. Equal AI is designed solely to receive inbound calls and assist you by answering, transcribing, and summarisingcalls using AI. You shall not misuse this feature to engage in or facilitate illegal, harmful, or deceptive activities such as follows:

i. Use Assistant-generated responses to harass or intimidate unknown callers.

ii. Use the Assistant to impersonate someone or misrepresent facts to callers.

iii. Use the Assistant to trick, manipulate, or phish callers for sensitive personal information such as OTPs, bank details, passwords.

iv. Enable the Assistant to respond with or generate vulgar, hateful, abusive, sexually explicit, paedophilic, or discriminatory responses.

v. Configure or allow the Assistant to respond to calls in ways that promote unlawful activities like hate speech, terrorism, unlawful organisations, or political manipulation.

c. In relation to the Assistant, you must not:

i. Use the Assistant in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users.

ii. Restrict or inhibit any other person from using the Assistant or any part thereof.

iii. Reproduce, modify, adapt, translate, create derivative works of, sell, rent, lease, loan, timeshare, distribute or otherwise exploit any portion of (or use any of) the Assistant except as expressly authorised herein, without our express prior written consent.

iv. Frame or mirror any portion of the Assistant, or otherwise incorporate any portion of any Assistant into any frame or service, without our express prior written consent.

All of the intellectual property, Assistant and content has been made available to you on or through the Assistant and remains our property and is protected by copyright laws and treaties around the world. All such rights are reserved for us. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on Equal AI.

We make no warranties or representations whatsoever in relation to our intellectual property. We are not liable for any damages, loss, expenses, or costs in the event that our intellectual property or any part of it infringes or is alleged to infringe the rights of any third party. We will have control of all proceedings in any court of law or tribunal in respect of any infringement of our intellectual property.

We reserve the right to suspend or terminate your access to the Assistant at our sole discretion, without notice, if you violate these Terms or engage in any activity that may harm the Assistant or its users. To the extent applicable, you shall be liable to pay any fees or charges as may be applicable in respect of the services until the date of termination.

The service is provided "as" is" and "as available" without warranty of any kind, express, implied, statutory, or otherwise, including the implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. We do not warrant that the Assistant will be error-free, timely or uninterrupted, and we shall not be held responsible for non-availability of the Assistant during periodic maintenance operations or any unplanned suspension of access to the Assistant that may occur due to technical reasons or for any reason beyond our control. We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

You agree to defend, indemnify and hold harmless us our subcontractors, affiliates, officers, directors, employees, consultants, representatives and agents, from and against any and all claims (including third-party claims), damages, obligations, losses, liabilities, costs or expenses (including but not limited to attorneys’ fees and costs) arising directly from:

a. Your use of and access of Equal AI;

b. Your violation of any Terms of Use and the Privacy Policy; and

c. Your violation of any third party right, including without limitation any copyright, property, or privacy right.

To the maximum extent permitted by law, Equal AI shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use or inability to use the Assistant.

These Terms are governed by the laws of India without regard to its conflict of laws principles, and you agree to submit to the exclusive jurisdiction of courts of Bengaluru.

a. Amendments: We may update these Terms from time to time. We will notify you of any changes by way of an email/pop-up notification on the Assistant and will post the new policy on this page with an updated “Effective Date.” You will be required to provide your consent and acceptance to the updated Terms before you can continue accessing the Assistant and the services after such change. All communications, transactions and dealings on the Assistant shall be subject to the latest version of this Terms in force at the time.

b. Assignment: You cannot assign or otherwise transfer the Terms, or any rights granted hereunder to any third party. Our rights under the Terms are freely transferable to any third party without the requirement of seeking your consent.

c. Severability: If, for any reason, a court of competent jurisdiction finds any provision of the Terms, or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Terms shall continue in full force and effect.

d. Waiver: Any failure by us to enforce or exercise any provision of the Terms, or any related right, shall not constitute a waiver by of that provision or right.

e. Force Majeure Event: Should the whole or any part of the performance of any part of our obligations or exercise of our rights hereunder be prevented or delayed by causes, circumstances or events beyond our control, including delay due to floods, fires, accidents, earthquakes, riots, explosions, wars, hostilities, acts of government, custom barriers, harthals, strikes, epidemic or other causes of like character beyond our reasonable control (“Force Majeure Event”), then, we shall be excused and absolved from performance of these Terms for so long as such Force Majeure Event continues to prevail.

f. Privity of Contract: Save as otherwise expressly provided in these Terms, any person who is not a party to these Terms shall not have any rights to enforce these Terms.
